These Terms of Service ("Terms") govern your use of Apps Made Easy (“AME,” “we,” “our,” “us”) platforms, apps, and related services, including branded Virtual Agent applications, the Auto‑Invite lead capture system, buyer profiling & alerts, the AME Collaboration/Listing Network, AME websites, dashboards, and marketing tools (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a company or organization (such as an agency or brokerage), you represent that you have authority to bind that entity.
1. Eligibility
- You must be at least 18 years old to use the Services.
- By using the Services, you confirm that you are legally permitted to enter into these Terms in your jurisdiction.
2. Accounts and Access
- Agencies, brokers, and their staff must create accounts to access back‑office and admin features.
- You are responsible for maintaining the confidentiality of your credentials and all activity under your account.
- Notify us immediately of unauthorized use of your account.
3. Services Provided
AME offers a technology platform for real estate professionals and their clients, including:
- Branded Virtual Agent apps: cross‑platform property search apps installable on any device.
- Auto‑Invite system: automated invitations via SMS/email to onboard leads.
- Buyer profiling & alerts: tailored recommendations and notifications based on activity.
- Collaboration/Listing Network: shared multi‑agency property inventory for expanded reach.
- Optional advertising & sponsorship placements within apps (with user consent, where required).
We are not a CRM provider, lead generator, or marketing agency. We provide the infrastructure that enables agencies to capture, retain, and manage leads.
4. Agency Responsibilities
Agencies using AME must:
- Ensure that any personal data uploaded or synchronized (e.g., leads, contacts, property XML feeds) has been collected lawfully and with required consents.
- Provide accurate, non‑misleading, and lawful property listings. Listings with watermarks or rights restrictions may be refused.
- Maintain compliance with local real estate laws, licensing, and advertising rules.
- Use the Services only for legitimate real estate activities.
- Not upload malware, unlawful content, or infringing material.
5. Buyer/User Responsibilities
If you use an Agency’s branded Virtual Agent app:
- You may view, save, and inquire about property listings for your personal use.
- You must provide accurate information when submitting inquiries.
- You may not attempt to scrape, resell, or misuse data accessed via the apps.
6. Fees and Payment
- Subscription packages and fees are outlined in separate agreements (e.g., annual license fees, monthly per‑agent fees).
- Payments are due as specified in your order or invoice. Late payments may result in suspension of Services.
- Free broker apps are provided only where Agencies agree to allow AME to retain advertising rights.
7. Intellectual Property
- AME retains ownership of all platform technology, software, trademarks, and content not provided by Agencies.
- Agencies retain ownership of their brand assets, property data, and client databases.
- By using the Services, you grant AME a non‑exclusive license to host, process, display, and transmit your content as needed to provide the Services.
8. Data Protection and Privacy
- Our handling of personal data is governed by the AME Privacy Policy.
- Agencies are responsible for ensuring compliance with applicable data protection laws (e.g., GDPR, CCPA) when uploading or integrating personal data.
- Agencies must enter into a Data Processing Addendum (DPA) with AME when required by law.
9. Collaboration/Listing Network
- Agencies that opt in can share property listings across the AME network, making them visible to other members and their buyers【37†source】.
- Buyer inquiries may be routed to listing brokers through AME’s back‑office system.
- Agencies remain responsible for responding promptly and accurately to such inquiries.
10. Advertising and Sponsorships
- AME may include advertising, sponsorships, or partner promotions within Agency apps, subject to contract and user consent.
- Where Agencies choose a subsidized/free plan, AME reserves the right to display third‑party advertising.
- Agencies must not include competing ads that conflict with AME sponsor agreements unless expressly permitted.
11. Service Availability
- We aim to provide continuous availability but do not guarantee uninterrupted, error‑free operation.
- Scheduled maintenance or emergency downtime may occur.
- We may modify or discontinue features at our discretion with reasonable notice.
12. Prohibited Uses
You agree not to:
- Use the Services for unlawful, fraudulent, or abusive purposes.
- Reverse engineer, decompile, or attempt to extract source code.
- Circumvent usage limits, fees, or subscription terms.
- Resell, lease, or sublicense the Services without authorization.
13. Disclaimers
- The Services are provided “as is” without warranties of any kind.
- We do not guarantee specific business results, lead conversion rates, or property sales.
- AME is not liable for the accuracy or legality of property listings supplied by Agencies.
14. Limitation of Liability
- To the maximum extent permitted by law, AME is not liable for indirect, incidental, consequential, or punitive damages.
- AME’s aggregate liability under these Terms will not exceed the amount paid by you to AME in the 12 months preceding the claim.
15. Indemnification
You agree to indemnify and hold harmless AME, its officers, employees, and partners against claims arising from:
- your use of the Services;
- your violation of these Terms;
- property listings, data, or content you upload;
- non‑compliance with applicable laws.
16. Termination
- Agencies may terminate their subscription according to contractual terms.
- AME may suspend or terminate access for breach of these Terms or unlawful conduct.
- Upon termination, Agencies must cease using the Services, but certain obligations (e.g., fees due, indemnities) will survive.
17. Governing Law and Dispute Resolution
